1. Agreement to Terms

By accessing or using the Task Smith website and services provided by OmniForge ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services Description

Task Smith provides business process automation services, including but not limited to business process analysis, custom automation development, onboarding, training, and ongoing support and optimization.

3. Service Engagement

Engagement of our services begins upon:

  • Completion of a discovery call
  • Mutual agreement on project scope and deliverables
  • Execution of a service agreement
  • Receipt of any required deposits or payments

4. Pricing and Payment

Pricing for our services will be provided during the discovery call and confirmed in a written proposal or service agreement. Payment terms, including any deposits, milestones, and final payments, will be outlined in the service agreement.

5. Service Guarantees

Any performance guarantees, including satisfaction or results-based guarantees, will be specified in your individual service agreement. The specific terms, conditions, and scope of any guarantee will be agreed upon in writing before work commences.

6. Intellectual Property

Our Property: The Task Smith platform, underlying technology, methodologies, and pre-existing intellectual property remain the property of OmniForge.

Your Property: Custom automations built specifically for your business processes, upon full payment, become your property to use in perpetuity, subject to any licensing requirements of third-party components.

7. Confidentiality

We maintain strict confidentiality regarding your business processes, data, and proprietary information. We will not disclose your confidential information to third parties without your consent, except as required by law or to provide our services.

8. Data Handling

During the provision of our services, we may have access to your business data. We will handle all data in accordance with our Privacy Policy and applicable Australian privacy laws. We implement appropriate security measures to protect your data.

9. Limitation of Liability

To the maximum extent permitted by Australian law, OmniForge shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

10. Termination

Either party may terminate services in accordance with the terms specified in the service agreement. Upon termination, we will provide you with any deliverables completed up to the termination date and assist with reasonable transition activities.

11. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Australia. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of Australian courts.

12. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will provide notice of significant changes by updating the "Last updated" date and, where appropriate, notifying you directly.
